Company receives expected Nasdaq notice related to second-quarter Form 10-Q filing while continuing execution of previously submitted compliance plan; management remains focused on timely completion of all outstanding SEC filings and continued commercial execution

FISHERS, IN / ACCESS Newswire / August 26, 2026 / American Resources Corporation (NASDAQ:AREC) ("American Resources" or the "Company"), a leader in the critical mineral supply chain, today announced that it has received a notification from the Listing Qualifications Department of The Nasdaq Stock Market LLC ("Nasdaq") indicating that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to the delayed filing of its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026. The notice has no immediate effect on the listing or trading of the Company's common stock on the Nasdaq Capital Market.

Nasdaq previously granted the Company until October 15, 2026 to regain compliance following the delayed filing of its Quarterly Report for the quarter ended March 31, 2026. In accordance with Nasdaq procedures, the Company will submit an amendment to its previously accepted compliance plan to include the June 30, 2026 filing. The June 30, Form 10-Q would be required to be filed by the same October 15, 2026 deadline. Management continues to expect completion of all outstanding quarterly reports within the existing compliance period.

The Company intends to file its outstanding Quarterly Reports as promptly as practicable and continues to expect to regain compliance with Nasdaq Listing Rule 5250(c)(1) upon completion of those filings. American Resources will provide additional updates as appropriate.
